Portland Timbers Soccer Celebration Trivia Promotion Official Rules

Important:  Please read these Official Rules before participating in this Promotion.  By participating in this Promotion, you agree to be bound by these Official Rules and represent that you satisfy all of the eligibility requirements below.

NO PURCHASE NECESSARY TO ENTER OR WIN.  A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.  VOID WHERE PROHIBITED.

The Portland Timbers Soccer Celebration Trivia Promotion (the “Promotion”) consists of four (4) trivia games (collectively, “Games” and each, a “Game”) presented by Peregrine TeamCo LLC d/b/a Portland Timbers (“Sponsor”) in connection with the Soccer Celebration event at Pioneer Courthouse Square from June 12, 2026 through June 15, 2026 (the “Event”).  The Event hours are 11:00 a.m. to 9:00 p.m. on Friday, June 12, 2026; 11:00 a.m. to 11:30 p.m. on Saturday, June 13, 2026; 9:00 a.m. to 9:30 p.m. on Sunday, June 14, 2026; and 8:00 a.m. to 8:30 p.m. on Monday, June 15, 2026 (“Event Hours”), all times Pacific. The Promotion period begins at 12:00 a.m. Pacific Time on June 12, 2026 and ends at 11:59 p.m. Pacific Time on June 15, 2026, and will consist of multiple Entry periods associated to each Game. Sponsor will award one (1) Prize per Game, for a total of four (4) Prizes.

Open only to entrants who are eighteen (18) years of age or older and are legal residents who live within a 75-mile radius of Providence Park, located at 1844 SW Morrison Street, Portland, Oregon 97205 (the “Territory”) at the time of entry (“Entrants”).  Entries will only be accepted by texting “TRIVIA” to (503) 300-4071 or scanning the QR code displayed at the Event for the particular Game and following all directions.  No purchase necessary to participate or win.  Prizes are non-transferable and non-assignable, with no cash redemptions or substitutions except at Sponsor’s sole and absolute discretion. All applicable federal, state and local laws and regulations apply.  One (1) Entry per Entrant per Game.  Void outside the Territory or where prohibited or restricted by law, rule, or regulation.  By participating in this Promotion, each Entrant unconditionally accepts and agrees to comply with and abide by these Official Rules of the Promotion and the decisions of Sponsor, which will be final and binding in all respects. To enter a Game, Entrants will be required to sign up for recurring text messages at the telephone number provided by Entrant, which messages may be marketing and/or automated.  Entrants to the Promotion will be given the option to receive e-mails from the Sponsor Entities; however, eligibility to participate in the Promotion is not dependent upon Entrant’s consent to receive such e-mails and consenting to do so will not increase Entrant’s chance of winning.   This Promotion is subject to the Terms of Use and Privacy Policy located at: **http://www.mlssoccer.com/terms-service** and **http://www.mlssoccer.com/privacy-policy**.  By entering to win, Entrant also agrees to the Wit Labs, Inc. 1. Eligibility.  The Promotion is open to legal residents of Oregon and Washington within the Territory who are 18 years of age or older at the time of entry. Persons in the following categories are NOT eligible to participate or win a prize in the Promotion: (a) Sponsor, Peregrine Sports LLC (“Sponsor’s Affiliate” and together with Sponsor, the “Sponsor Entities”), and each of their respective parents, subsidiaries, affiliates, service agencies, and independent contractors, and each of their respective directors, officers, employees, members, managers, representatives, and agents (collectively, the “Promotion Entities”); (b) Major League Soccer, L.L.C., Soccer United Marketing, LLC, Pro Soccer Development, LP, and Player Development, LLC and each of their respective parents, subsidiaries, affiliates, service agencies, and independent contractors, and each of their respective directors, officers, employees, members, and agents (collectively, the “MLS Entities”); (c)  persons engaged in the development, production or distribution of materials, including printers and agencies, for this Promotion; and (d) persons who are immediate family members  of any person in any of the preceding categories, regardless of where they live, and/or individuals who reside in the same household, whether related or not, as any person in any of the preceding categories.  The transfer of a Prize from an ineligible to an eligible person (and vice versa) is prohibited. IF AN ENTRANT DOES NOT MEET THE FOREGOING REQUIREMENTS OR ANY OTHER ELIGIBILITY REQUIREMENTS IN THESE OFFICIAL RULES, THE ENTRANT IS NOT ELIGIBLE TO WIN A PRIZE AND SPONSOR RESERVES THE RIGHT NOT TO AWARD THE APPLICABLE PRIZE TO THE ENTRANT.

2. Timing and Entry Periods. The Promotion period begins at 12:00 a.m. Pacific Time on June 12, 2026 and ends at 11:59 p.m. Pacific Time on June 15, 2026.  The Promotion consists of four (4) Games with individual Entry periods.  Each Entry period begins at 12:00 a.m. Pacific Time on the applicable date set forth below and ends at 11:59 p.m. Pacific Time on such date.  Entries will only be accepted during the applicable Entry period. Sponsor’s computer is the official time-keeping device for the Promotion.  The applicable dates for each Entry period are as follows:

• Game #1: June 12, 2026
• Game #2: June 13, 2026
• Game #3: June 14, 2026
• Game #4: June 15, 2026

3. How to Enter.  No purchase necessary to enter or win. To enter a Game, Entrants will be required to sign up for recurring text messages at the telephone number provided by Entrant, which messages may be marketing and/or automated.  Entrant must have a compatible iOS or Android smartphone, tablet, or other mobile device to play.  To enter, an Entrant must either text “TRIVIA” to (503) 300-4071 or scan the applicable QR code shown on the video board at the Event.  If Entrant utilizes the text option, Entrant will be sent a link to sign up for marketing text messages.  If Entrant uses the QR code, Entrant will be automatically directed to the text message sign-up page.  Entrant must enter all required information on the text-message sign up page and sign up for marketing text messages by clicking “Accept.” After accepting, Entrant will be sent an additional link to the Game’s sign-up page. During the Game’s individual Entry period, Entrant must click the link, enter all required information, answer the trivia question(s), and submit the form (“Entry”). No other method of entry will be accepted. All requested information must be provided for an Entry to be valid.  By signing up for text messages, Entrant expressly consents to receiving recurring automated promotional and marketing text messages from Sponsor or its service providers using an automated telephone dialing system to the mobile number provided by Entrant. Each Entrant may only submit one (1) Entry per Game; Sponsor reserves the right, in its sole discretion, to void any and all Entries of an Entrant who submits more than one (1) Entry per Game.  Entries become the property of Sponsor and will not be returned.  Entries and Entrants may be subject to verification by Sponsor in its sole discretion. Any attempt by any Entrant to obtain more than the stated number of Entries by using multiple/different addresses, identities or registrations, or any other methods may void that Entrant’s Entries and that Entrant may be disqualified, in Sponsor’s sole discretion. Use of any automated, robotic, repetitive, programmed or similar entry methods or agents to enter is prohibited and may result in disqualification.  Incomplete Entries or Entries not complying with these Official Rules are subject to disqualification, at Sponsor’s sole discretion.  Proof of submission does not constitute proof of Entry. The Terms of Use and Privacy Policy located at http://www.mlssoccer.com/terms-service and http://www.mlssoccer.com/privacy-policy (both of which are incorporated herein by reference), govern such Entries and communications. By entering to win, Entrant also agrees to the WIT Terms of Use and Privacy Policy located at https://www.witcontests.com/terms, and the Community Terms of Service and Privacy Policy located at https://www.community.com/legal/terms and https://www.community.com/legal/privacy-policy. Additionally, Entrants may be given the option to receive commercial e-mails from Promotion Entities, however eligibility to participate in the Promotion is not dependent upon Entrant’s consent to receive such e-mails and consenting to do so will not increase Entrant’s chances of winning.

4. Selection.  Sponsor will award one (1) Prize (defined below) per Game to a randomly selected Entrant from all eligible Entrants who submitted a correct answer for that Game (“Winner”).  For each Game, whether an answer is correct will be determined by Sponsor in its sole discretion.  If no Entry contains a correct answer for a Game, Sponsor will award the Prize for such Game to a randomly selected Entrant from all Entrants who submitted an Entry for that Game. Sponsor will select the Winner in its sole discretion. The Winner will be notified by text on or about June 16, 2026.  To claim the Prize, the Winner must follow the instructions contained in the Prize notice and, if requested by Sponsor, Winner must sign and return an Affidavit of Eligibility and Release and, unless prohibited by law, a Release of Publicity, as further described in Section 7 below.  If the Winner does not claim the Prize within five (5) calendar days after delivery of notification, the Prize will be forfeited, and Sponsor may, in its sole discretion and if time permits, award it to an alternate Winner selected in the same manner, or leave it unawarded. Odds of being selected a Winner of a Game depend on the number of eligible Entries containing a correct answer for that Game received by Sponsor.  In the event of a dispute as to the identity or eligibility of a potential Winner based on a telephone number, the applicable Entry will be declared made by the Authorized Account Holder of the telephone number used to enter the Promotion.  As used herein, the” Authorized Account Holder” is defined as the natural person to whom the applicable cellular provider has assigned the telephone number.  Sponsor’s decisions will be final and binding on all matters relating to the Promotion.

5. Prizes and Approximate Retail Value (“ARV”).

• Prize for Winning Entries (“Prize”):The Winner of each Game will receive the following:

• Total ARV of the Prize:  $250.00
• Total ARV of all Prizes: $1,000.00 

Value of the Prize is subject to market fluctuations. Exact individuals to sign the jersey will be determined by Sponsor in its sole discretion; no specific signature is guaranteed. Prizes are non-refundable, non-transferable, and not redeemable for cash.  Additional terms and conditions may apply to the Prize.

6. Prize Restrictions: Limit one (1) Prize per Game per person. All costs and expenses associated with Prize acceptance and use not specified herein as being provided, including but not limited to lodging accommodations, any transportation costs, luggage fees, meals, gratuities and other expenses incurred by accepting the Prize, are the sole responsibility of the Winner.  Sponsor does not make, nor in any manner is responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize including but not limited to its quality, fitness for purpose, or condition.  Prize is non-transferable and non-assignable, with no cash redemptions or substitutions except at Sponsor’s sole and absolute discretion. Prize will be deemed void if sold, transferred, auctioned or assigned to any third party.  Sponsor reserves the right in its sole discretion to substitute a Prize in whole or in part with one of comparable or greater value. ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER. 

7. Winner Notification/Prize Claims.  If a Prize is not claimed by the Winner within five (5) calendar days after delivery of notification, or a potential winner is found to be ineligible or not in compliance with these Official Rules, the Prize will be forfeited by such Winner and, in Sponsor’s sole discretion and time permitting, the Prize may be awarded to another randomly selected Winner. Winners are subject to verification.  All Winners may be required to verify their eligibility by completing, signing, and returning an Affidavit of Eligibility and Release and, unless prohibited by applicable law, a Release of Publicity, and failure to do so may result in Entrant’s forfeiture of the Prize.

8. Release; Limitation of Liability.  Entrant, and its designees, assignees and predecessors and successors in interest, by participating in the Promotion, or by acceptance of a Prize, acknowledge compliance with these Official Rules and agree to release and hold the Promotion Entities, WIT, Community, and the MLS Entities (collectively, the “Releasees”) harmless from and against any claim or cause of action (and any associated costs, losses, or damages) arising in whole or in part out of participation in the Promotion or the receipt, redemption or use of a Prize, including any death, injuries, losses or damages of any kind sustained, directly or indirectly, in connection with the participation in the Promotion or the receipt, use, acceptance, possession or awarding of any Prize (or any goods or services purchased using the Prize). By participating in this Promotion, you agree to be bound by the Official Rules and by the decisions of Sponsor, which are final and binding on all matters. Sponsor reserves the right to modify the Prize award procedures at its discretion. 

9. Submitted Materials.  Sponsor reserves the right to disqualify any Entry it deems to be offensive, inappropriate, not in keeping with Sponsor’s image or that is otherwise not in compliance with these Official Rules, in its sole discretion.  Entries cannot defame or invade the publicity rights or privacy of any person, living or deceased.  By entering the Promotion, Entrants agree to assign, and upon submission does assign, all right, title, and interest, including copyright rights, in the Entry to Sponsor and grant permission for the Promotion Entities and MLS Entities and their respective designees to publish or publicize all or part of their Entry, including but not limited to the Entrant’s name, likeness and submission (as applicable), in whole or in part, for advertising, promotional and trade or other purposes in conjunction with this and similar promotions in any and all media now known or hereafter developed, worldwide in perpetuity, without notice or permission and without further compensation, except where prohibited by law.

10. Force Majeure.  Releasees are not responsible for the cancellation or postponement of any event, competition, game or other live event or exhibition.  Releasees are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions (including viruses and bugs), failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Releasees assume no responsibility for any damage to an Entrant’s phone line, hardware, software or program malfunctions, or other errors, failures, or network connections that are human or technical in nature. SPONSOR RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO DISQUALIFY ANY INDIVIDUAL WHO IS FOUND TO BE TAMPERING WITH THE ENTRY PROCESS OR THE OPERATION OF THE PROMOTION, TO BE ACTING IN VIOLATION OF THESE OFFICIAL RULES, OR TO BE ACTING IN AN UNSPORTSMANLIKE OR DISRUPTIVE MANNER, OR WITH THE INTENT TO DISRUPT OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION, OR TO ANNOY, ABUSE, THREATEN OR HARASS ANY OTHER PERSON, AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right to modify, extend, suspend, or terminate the Promotion or any Game, in whole or in part, if it determines, in its sole discretion, that the Promotion or any particular selection of a Winner is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security and/or feasibility of the Promotion or particular selection of a Winner as contemplated herein.  In the event Sponsor is prevented from awarding prizes or continuing with the Promotion or a particular selection of a Winner as contemplated herein by any event beyond its control, including, but not limited to, fire, flood, natural or man-made disaster, epidemic, pandemic, or other public health emergency, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control, then subject to any governmental approval which may be required, Sponsor will have the right to modify, suspend, or terminate the Promotion or any Game in its entirety.

11. General.  This Promotion is designed to increase consumer awareness of and interest in Sponsor and MLS. These Official Rules cannot be modified or amended in any way except by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Promotion is void outside the Territory or where prohibited by law, rule, or regulation. THIS PROMOTION IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF OREGON, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. Each Entrant agrees that any and all disputes that cannot be resolved between the parties and other causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action, exclusively before a court located in Multnomah County, Oregon, having jurisdiction. This Promotion may not be used for any form of gambling.  In the event that the Promotion is challenged by any legal or regulatory authority, Sponsor reserves the right to discontinue or modify the Promotion, or to disqualify Entrants residing in the affected geographic areas. In such event, Releasees will have no liability to any Entrant or any Winner who is disqualified due to such an action.

12. Winners List.  To learn of the Winners, any person may mail a self-addressed, stamped envelope to 1844 SW Morrison St., Portland, OR 97205, Attn: Winners’ List – Portland Timbers Soccer Celebration Trivia Promotion. All such requests must be received by September 15, 2026.

13. Sponsor.  The Sponsor of the Promotion is Peregrine TeamCo LLC d/b/a Portland Timbers, located at 1844 SW Morrison Street, Portland, OR 97205.  This Promotion is powered by WIT on behalf of Sponsor. For the avoidance of doubt, WIT administers and provides the platform for the Games, but is not the sponsor of the Promotion. Community and the MLS Entities are not sponsors or administrators of this Promotion and are in no way responsible or liable for the administration of this Promotion.

14. Trademarks. All trademarks used are the property of their respective owner(s) and are used for prize description purposes only.

The Photo must include indicia that confirms the location where the Photo was taken (i.e., must show the name of the Pub Partner). A separate Photo must be submitted for each Entry.  The Website may also be accessed by texting “PASSPORT” to (503) 300-4071 and signing up for marketing text messages, as further set forth below. 4. Selection.  Sponsor will award one (1) Prize (defined below) to a randomly selected Entrant from all qualified Entries (“Winner”). Sponsor will select the Winner in its sole discretion. The Winner will be notified by e-mail and/or telephone (in the sole discretion of Sponsor) on or about July 20, 2026.  To claim the Prize, the Winner must follow the instructions contained in the Prize notice and, if requested by Sponsor, must sign and return an Affidavit of Eligibility and Release and, unless prohibited by law, a Release of Publicity, as further described in Section 5 below.  In the event that an eligible Winner does not claim the Prize within five (5) calendar days after delivery of notification, then in Sponsor’s discretion and time permitting, the Prize may be awarded to another randomly selected Winner. Odds of being selected a Winner of the Prize depend on the number of eligible Entries received by Sponsor.  In the event of a dispute as to the identity or eligibility of a potential Winner based on an e-mail address, the applicable Entry will be declared made by the Authorized Account Holder of the e-mail address submitted at the time of Entry.  As used herein, the” Authorized Account Holder” is defined as the natural person to whom the applicable Internet service provider or other organization (such as a business or educational institution) has assigned the e-mail address for the domain associated with the submitted e-mail address.  Sponsor’s decisions will be final and binding on all matters relating to the Sweepstakes selections.

6. Prize Restrictions: Limit one (1) Prize per person. All costs and expenses associated with Prize acceptance and use not specified herein as being provided are the sole responsibility of the Winner.  Sponsor does not make, nor in any manner is responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize including but not limited to its quality, fitness for purpose, or condition.  Prize is non-transferable and non-assignable, with no cash redemptions or substitutions except at Sponsor’s sole and absolute discretion. Prize will be deemed void if sold, transferred, auctioned or assigned to any third party.  Sponsor reserves the right in its sole discretion to substitute a Prize in whole or in part with one of comparable or greater value. ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER.

7. Winner Notification/Prize Claims.  If a Prize is undeliverable to Winner or otherwise not claimed by Winner within five (5) calendar days after delivery of notification, or a potential winner is found to be ineligible or not in compliance with these Official Rules, the Prize will be forfeited by such Winner and, in Sponsor’s sole discretion and time permitting, the Prize may be awarded to another randomly selected Winner. Winners are subject to verification.  All Winners may be required to verify their eligibility by completing, signing, and returning an Affidavit of Eligibility and Release and, unless prohibited by applicable law, a Release of Publicity, and failure to do so within five (5) calendar days of issuance may result in Entrant’s forfeiture of the Prize.

8. Release; Limitation of Liability.  Entrant, and its designees, assignees and predecessors and successors in interest, by participating in the Sweepstakes, or by acceptance of the Prize, acknowledge compliance with these Official Rules and agree to release and hold the Sweepstakes Entities, WIT, and the MLS Entities (collectively, the “Releasees”) harmless from and against any claim or cause of action (and any associated costs, losses, or damages) arising in whole or in part out of participation in the Sweepstakes, any of the Releasees’ use of any Entry as permitted herein, or the receipt, redemption or use of a Prize, including any death, injuries, losses or damages of any kind sustained, directly or indirectly, in connection with the participation in the Sweepstakes or the receipt, use, acceptance, possession or awarding of any Prize (or any goods or services purchased using the Prize). By participating in this Sweepstakes, you agree to be bound by the Official Rules and by the decisions of Sponsor, which are final and binding on all matters. Submitted Materials.  Entrant agrees not to provide, and Sponsor reserves the right to disqualify (in its sole discretion), any Entry which is not in compliance with these Official Rules, which it deems to be false, misleading, defamatory, libelous, obscene, offensive, hateful, threatening, pornographic, sexually explicit, or otherwise inappropriate, which contains nudity or graphic or gratuitous violence, which invades the privacy or publicity rights of any person, living or deceased, or which infringes upon any copyright, trademark, or other intellectual property right of any person or entity. By entering the Sweepstakes, Entrant agrees to assign, and upon submission does assign, all right, title, and interest, including copyright rights, in the Entry to Sponsor and grant permission for the Sweepstakes Entities and MLS Entities and their respective designees to publish or publicize all or part of their Entry, including but not limited to the Entrant’s name, likeness and submission (as applicable), in whole or in part, for advertising, promotional and trade or other purposes in any and all media now known or hereafter developed, worldwide in perpetuity, without notice or permission and without further compensation, except where prohibited by law. To the extent the foregoing assignment is or becomes invalid, ineffective, or unenforceable for any reason, or any right, title, or interest in or to the Entry is not assignable under applicable law, Entrant hereby grants to Sponsor an irrevocable, perpetual, worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, publish, republish, edit, adapt, modify, translate, create derivative works from, distribute, sell, license, transmit, publicly perform, and publicly display the Entry, including Entrant’s and any other individual depicted in the Entry’s name, likeness, voice, image, and biographical information, in whole or in part, alone or in compilations, in any and all media now known or hereafter developed, by any method or process, and to authorize others to do so. To the fullest extent permitted by applicable law, Entrant hereby irrevocably waives and agrees not to assert any and all “moral rights,” rights of attribution, rights of integrity, or similar rights in the Entry, whether arising under U.S. law or the laws of any other jurisdiction.

Entrant represents and warrants that Entrant is the sole owner of the Photo, and that Entrant controls all rights necessary to submit the Photo.  Entrant further represents and warrants that any of the Releasees’ use of such Photo will not infringe, misappropriate, or violate any copyright, trademark, right of publicity, right of privacy, or other proprietary or personal right of any third party.  Without limiting the foregoing, Entrant represents and warrants that Entrant has obtained all necessary licenses, rights, consents, releases, and permissions to submit and use the Photo as contemplated herein. If any individual depicted in the Photo is under the age of eighteen (18), Entrant further represents and warrants that Entrant is that minor’s parent or legal guardian, or that Entrant has obtained express written consent from the minor’s parent or legal guardian to submit the Photo and to grant the rights and releases set forth herein.

Force Majeure.  Releasees are not responsible for the cancellation or postponement of any event, competition, game or other live event or exhibition.  Releasees are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions (including viruses and bugs), failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Releasees assume no responsibility for any damage to an Entrant’s phone line, hardware, software or program malfunctions, or other errors, failures, or network connections that are human or technical in nature. SPONSOR RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO DISQUALIFY ANY INDIVIDUAL WHO IS FOUND TO BE TAMPERING WITH THE ENTRY PROCESS OR THE OPERATION OF THE SWEEPSTAKES, TO BE ACTING IN VIOLATION OF THESE OFFICIAL RULES, OR TO BE ACTING IN AN UNSPORTSMANLIKE OR DISRUPTIVE MANNER, OR WITH THE INTENT TO DISRUPT OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES, OR TO ANNOY, ABUSE, THREATEN OR HARASS ANY OTHER PERSON, AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right to modify, extend, suspend, or terminate the Sweepstakes, in whole or in part, if it determines, in its sole discretion, that the Sweepstakes or any particular selection of a Winner is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security and/or feasibility of the Sweepstakes or particular selection of a Winner as contemplated herein.  In the event Sponsor is prevented from awarding prizes or continuing with the Sweepstakes or a particular selection of a Winner as contemplated herein by any event beyond its control, including, but not limited to, fire, flood, natural or man-made disaster, epidemic, pandemic, or other public health emergency, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control, then subject to any governmental approval which may be required, Sponsor will have the right to modify, suspend, or terminate the Sweepstakes in its entirety.

11. General.  This Sweepstakes is designed to increase consumer awareness of and interest in Sponsor and MLS. These Official Rules cannot be modified or amended in any way except by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Sweepstakes is void outside the Territory or where prohibited by law, rule, or regulation. THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF OREGON, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. The Winner will be notified by text on the date of the applicable Game.  To claim the Prize, on the date of the applicable Game, the Winner must present the winning text message notification, together with confirmation of eligibility, at Sponsor’s prize tent located at the Event. 7. Winner Notification/Prize Claims.  If a Prize is not claimed by the Winner at the prize tent before the close of the Event on the date of the applicable Game, or a potential winner is found to be ineligible or not in compliance with these Official Rules, the Prize will be forfeited by such Winner. Winners are subject to verification.  All Winners may be required to verify their eligibility by completing, signing, and returning an Affidavit of Eligibility and Release and, unless prohibited by applicable law, a Release of Publicity, and failure to do so may result in Entrant’s forfeiture of the Prize.

8. Release; Limitation of Liability.  Entrant, and its designees, assignees and predecessors and successors in interest, by participating in the Promotion, or by acceptance of a Prize, acknowledge compliance with these Official Rules and agree to release and hold the Promotion Entities, WIT, Community, and the MLS Entities (collectively, the “Releasees”) harmless from and against any claim or cause of action (and any associated costs, losses, or damages) arising in whole or in part out of participation in the Promotion or the receipt, redemption or use of a Prize, including any death, injuries, losses or damages of any kind sustained, directly or indirectly, in connection with the participation in the Promotion or the receipt, use, acceptance, possession or awarding of any Prize (or any goods or services purchased using the Prize). By participating in this Promotion, you agree to be bound by the Official Rules and by the decisions of Sponsor, which are final and binding on all matters. Sponsor reserves the right to modify the Prize award procedures at its discretion. 

9. Submitted Materials.  Sponsor reserves the right to disqualify any Entry it deems to be offensive, inappropriate, not in keeping with Sponsor’s image or that is otherwise not in compliance with these Official Rules, in its sole discretion.  Entries cannot defame or invade the publicity rights or privacy of any person, living or deceased.  By entering the Promotion, Entrants agree to assign, and upon submission does assign, all right, title, and interest, including copyright rights, in the Entry to Sponsor and grant permission for the Promotion Entities and MLS Entities and their respective designees to publish or publicize all or part of their Entry, including but not limited to the Entrant’s name, likeness and submission (as applicable), in whole or in part, for advertising, promotional and trade or other purposes in conjunction with this and similar promotions in any and all media now known or hereafter developed, worldwide in perpetuity, without notice or permission and without further compensation, except where prohibited by law.

10. Force Majeure.  Releasees are not responsible for the cancellation or postponement of any event, competition, game or other live event or exhibition.  Releasees are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions (including viruses and bugs), failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Releasees assume no responsibility for any damage to an Entrant’s phone line, hardware, software or program malfunctions, or other errors, failures, or network connections that are human or technical in nature. SPONSOR RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO DISQUALIFY ANY INDIVIDUAL WHO IS FOUND TO BE TAMPERING WITH THE ENTRY PROCESS OR THE OPERATION OF THE PROMOTION, TO BE ACTING IN VIOLATION OF THESE OFFICIAL RULES, OR TO BE ACTING IN AN UNSPORTSMANLIKE OR DISRUPTIVE MANNER, OR WITH THE INTENT TO DISRUPT OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION, OR TO ANNOY, ABUSE, THREATEN OR HARASS ANY OTHER PERSON, AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right to modify, extend, suspend, or terminate the Promotion or any Game, in whole or in part, if it determines, in its sole discretion, that the Promotion or any particular selection of a Winner is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security and/or feasibility of the Promotion or particular selection of a Winner as contemplated herein.  In the event Sponsor is prevented from awarding prizes or continuing with the Promotion or a particular selection of a Winner as contemplated herein by any event beyond its control, including, but not limited to, fire, flood, natural or man-made disaster, epidemic, pandemic, or other public health emergency, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control, then subject to any governmental approval which may be required, Sponsor will have the right to modify, suspend, or terminate the Promotion or any Game in its entirety.

11. General.  This Promotion is designed to increase consumer awareness of and interest in Sponsor and MLS. These Official Rules cannot be modified or amended in any way except by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Promotion is void outside the Territory or where prohibited by law, rule, or regulation. THIS PROMOTION IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF OREGON, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. Each Entrant agrees that any and all disputes that cannot be resolved between the parties and other causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action, exclusively before a court located in Multnomah County, Oregon, having jurisdiction. 12. Winners List.  To learn of the Winners, any person may mail a self-addressed, stamped envelope to 1844 SW Morrison St., Portland, OR 97205, Attn: Winners’ List – Portland Timbers Soccer Celebration Pick ‘Em Promotion. All such requests must be received by September 15, 2026.

13. Sponsor.  The Sponsor of the Promotion is Peregrine TeamCo LLC d/b/a Portland Timbers, located at 1844 SW Morrison Street, Portland, OR 97205.  This Promotion is powered by WIT on behalf of Sponsor. For the avoidance of doubt, WIT administers and provides the platform for the Games, but is not the sponsor of the Promotion. Community and the MLS Entities are not sponsors or administrators of this Promotion and are in no way responsible or liable for the administration of this Promotion.

14. Trademarks. All trademarks used are the property of their respective owner(s) and are used for prize description purposes only.

Portland Timbers Soccer Celebration Scratch and Spin to Win Promotion Official Rules

Important:  Please read these Official Rules before participating in this Promotion.  By participating in this Promotion, you agree to be bound by these Official Rules and represent that you satisfy all of the eligibility requirements below.

The Portland Timbers Soccer Celebration Scratch and Spin to Win Promotion (the “Promotion”) consists of two (2) digital games, one (1) “scratch-off” game and one (1) “spin-to-win” game (collectively, “Games” and each, a “Game”) presented by Peregrine TeamCo LLC d/b/a Portland Timbers (“Sponsor”) during the Soccer Celebration event at Pioneer Courthouse Square from June 12, 2026 through June 15, 2026 (the “Event”).  The Event hours are 11:00 a.m. to 9:00 p.m. on Friday, June 12, 2026; 11:00 a.m. to 11:30 p.m. on Saturday, June 13, 2026; 9:00 a.m. to 9:30 p.m. on Sunday, June 14, 2026; and 8:00 a.m. to 8:30 p.m. on Monday, June 15, 2026 (“Event Hours”). Sponsor will award up to one (1) Grand Prize (defined below) and up to eight hundred thirteen (813) Promotional Prizes (defined below) per Game per Event day.  Grand Prizes and Promotional Prizes are referred to herein as “Prizes.”

Open only to entrants who are eighteen (18) years of age or older and are legal residents who live within a 75-mile radius of Providence Park, located at 1844 SW Morrison Street, Portland, Oregon 97205 (the “Territory”) at the time of entry (“Entrants”).  Entries will only be accepted by texting the designated keyword or scanning the QR code displayed at the Event for the particular Game and following all directions.  No purchase necessary to participate or win.  Prizes are non-transferable and non-assignable, with no cash redemptions or substitutions except at Sponsor’s sole and absolute discretion. 1. Eligibility.  The Promotion is open to legal residents of Oregon and Washington within the Territory who are 18 years of age or older at the time of entry. Persons in the following categories are NOT eligible to participate or win a Prize in the Promotion: (a) Sponsor, Peregrine Sports LLC, Oregon Consolidated Co-Op/Oregon State Advertising Co-Op, and Davis Elen Advertising Inc. (the foregoing entities, the “Sponsor Entities”), and each of their respective parents, subsidiaries, affiliates, service agencies, and independent contractors, and each of their respective directors, officers, employees, members, managers, representatives, and agents (collectively, the “Promotion Entities”); (b) Major League Soccer, L.L.C., Soccer United Marketing, LLC, Pro Soccer Development, LP, and Player Development, LLC and each of their respective parents, subsidiaries, affiliates, service agencies, and independent contractors, and each of their respective directors, officers, employees, members, and agents (collectively, the “MLS Entities”); (c)  persons engaged in the development, production or distribution of materials, including printers and agencies, for this Promotion; and (d) persons who are immediate family members  of any person in any of the preceding categories, regardless of where they live, and/or individuals who reside in the same household, whether related or not, as any person in any of the preceding categories.  The transfer of any Prize from an ineligible to an eligible person (and vice versa) is prohibited. IF AN ENTRANT DOES NOT MEET THE FOREGOING REQUIREMENTS OR ANY OTHER ELIGIBILITY REQUIREMENTS IN THESE OFFICIAL RULES, THE ENTRANT IS NOT ELIGIBLE TO WIN A PRIZE AND SPONSOR RESERVES THE RIGHT NOT TO AWARD THE APPLICABLE PRIZE TO THE ENTRANT.

2. Timing and Entry Periods. The Promotion consists of two (2) Games: one (1) digital scratch-off game and one (1) digital spin-to-win game.  The Entry periods for each Game will be during the Event Hours on each Event day. Entries for each Game will be accepted only during the Event Hours. Sponsor’s computer is the official time-keeping device for the Promotion, and Sponsor’s determination of when each Entry period opens and closes is final.

3. How to Enter.  No purchase necessary to enter or win. To enter a Game, Entrants will be required to sign up for recurring text messages at the telephone number provided by Entrant, which messages may be marketing and/or automated.  Entrant must have a compatible iOS or Android smartphone, tablet, or other mobile device to play.  To enter a Game, an Entrant must either text MCDONALD’S to (503) 300-4071 or scan the QR code displayed on the applicable signage at the Event.  If Entrant utilizes the text option, Entrant will be sent a link to sign up for marketing text messages.  If Entrant uses the QR code, Entrant will be automatically directed to the text message sign-up page.  Entrant must enter all required information on the text-message sign up page and sign up for marketing text messages by clicking “Accept.” After accepting, Entrant will be sent an additional link to the Game’s sign-up page. During the applicable Entry period, Entrant must click the link, enter all required information, submit the form, and complete, as applicable, a digital scratch-off card or digital spin (“Entry”). No other method of entry will be accepted. All requested information must be provided for an Entry to be valid.  By signing up for text messages, Entrant expressly consents to receiving recurring automated promotional and marketing text messages from Sponsor or its service providers using an automated telephone dialing system to the mobile number provided by Entrant. Each Entrant may only submit one (1) Entry per Game, per Event day; Sponsor reserves the right, in its sole discretion, to void any and all Entries of an Entrant who submits more than the stated number of Entries.  Entries become the property of Sponsor and will not be returned.  Entries and Entrants may be subject to verification by Sponsor in its sole discretion. Any attempt by any Entrant to obtain more than the stated number of Entries by using multiple/different addresses, identities or registrations, or any other methods may void that Entrant’s Entries and that Entrant may be disqualified, in Sponsor’s sole discretion. Selection.  Sponsor will award up to one (1) Grand Prize per Game per Event day—one (1) for the scratch-off Game and one (1) for the spin-to-win Game—for a total of up to two (2) Grand Prize winners per Event day, and up to eight hundred thirteen (813) Promotional Prizes per Game per Event day (each winner of a Grand Prize or Promotional Prize, a “Winner” and collectively, the “Winners”).   For each Game, Winners will be selected randomly and automatically after completing the digital scratch-off or digital spin, as applicable.  The Entrant will be notified as to whether they have won a Prize upon completing the digital scratch-off or digital spin. To claim the Prize, the Entrant must present the notification, together with confirmation of eligibility, at Sponsor’s prize tent located at the Event.  If requested by Sponsor, a Winner must sign and return an Affidavit of Eligibility and Release and, unless prohibited by law, a Release of Publicity, as further described in Section 7 below.  If any Entrant does not claim their Prize at the prize tent before the close of the Event on the date on which they have won, the Prize will be forfeited.  Due to the variable nature of the number of Entrants into each Game on each Event day, the backend engine utilizes a dynamic probability function to determine Winners, based on an expected number of eligible Entries.  Therefore, the probability of winning a Prize may vary throughout the course of the Event. The number of eligible Entries received affects the odds of winning.  Prizes may be unawarded at the end of each Event day if there are fewer eligible Entries than expected or if any potential Winner is found to be ineligible.  In the event of a dispute as to the identity or eligibility of a potential Winner based on a telephone number, the applicable Entry will be declared made by the Authorized Account Holder of the telephone number used to enter the Promotion.  As used herein, the” Authorized Account Holder” is defined as the natural person to whom the applicable cellular provider has assigned the telephone number.  Sponsor’s decisions will be final and binding on all matters relating to the Promotion.

5. Prizes and Approximate Retail Value (“ARV”).

• Total ARV of all Prizes: $19,712.00

The applicable Winner will be notified as to which Promotional Prize they have won upon completing the digital scratch-off or digital spin.

Prizes are non-refundable, non-transferable, and not redeemable for cash.  Sponsor reserves the right to substitute any Prize in whole or in part with one of equal or greater value, in its sole discretion. Additional terms and conditions may apply to the Prize.

6. Prize Restrictions: Limit one (1) Prize per person, per Game, per Event day. All costs and expenses associated with Prize acceptance and use not specified herein as being provided, including but not limited to lodging accommodations, any transportation costs, luggage fees, meals, gratuities and other expenses incurred by accepting the Prize, are the sole responsibility of the Winner.  Sponsor does not make, nor in any manner is responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize including but not limited to its quality, fitness for purpose, or condition.  Prizes are non-transferable and non-assignable, with no cash redemptions or substitutions except at Sponsor’s sole and absolute discretion. 12. Winners List.  To learn of the Winners, any person may mail a self-addressed, stamped envelope to 1844 SW Morrison St., Portland, OR 97205, Attn: Winners’ List – Portland Timbers Soccer Celebration Scratch and Spin to Win Promotion. All such requests must be received by September 15, 2026.

Sponsor.  The Sponsor of the Promotion is Peregrine TeamCo LLC d/b/a Portland Timbers, located at 1844 SW Morrison Street, Portland, OR 97205.  This Promotion is powered by WIT on behalf of Sponsor. For the avoidance of doubt, WIT administers and provides the platform for the Games, but is not the sponsor of the Promotion. Community and the MLS Entities are not sponsors or administrators of this Promotion and are in no way responsible or liable for the administration of this Promotion.

14. Trademarks. All trademarks used are the property of their respective owner(s) and are used for prize description purposes only.

By submitting any video, photograph, text, graphics, information, documents, audio, or other materials (collectively, the “Content”) through the Portland Timbers Soccer Celebration Fan Wall intake portal located at www.timbers.com/fanwall, you acknowledge that you have read, understand, and agree to be bound by these Terms and Conditions, as well as the Major League Soccer Terms of Service and Privacy Policy located at http://www.mlssoccer.com/terms-service and http://www.mlssoccer.com/privacy-policy, and the Wit Labs, Inc. Terms of Use and Privacy Policy located at https://www.witcontests.com/terms.

You represent and warrant that you are the sole owner of the Content, and that you control all rights necessary to submit the Content.  You further represent and warrant that the use of the Content by Peregrine TeamCo LLC (“TeamCo”), Peregrine Sports LLC, Major League Soccer, L.L.C., Soccer United Marketing, LLC, Pro Soccer Development, LP, Player Development, LLC, and Wit Labs, Inc., and each of their respective parents, subsidiaries, affiliates, service agencies, independent contractors, designees, successors, and assigns, and each of their respective directors, officers, employees, members, and agents (collectively, the “Releasees”) will not infringe, misappropriate, or violate any copyright, trademark, right of publicity, right of privacy, or other proprietary or personal right of any third party.  Without limiting the foregoing, you represent and warrant that you have obtained all necessary licenses, rights, consents, releases, and permissions to submit and use the Content as contemplated herein, and that any music, sound recordings, audiovisual works, or other copyrighted materials included in the Content are either original to you or that you have secured all necessary synchronization, master use, performance, and other rights required for the full use of the Content as contemplated herein.  You represent and warrant that you are at least eighteen (18) years of age.  If any individual depicted in the Content is under the age of eighteen (18), you further represent and warrant that you are that minor’s parent or legal guardian, or that you have obtained express written consent from the minor’s parent or legal guardian to submit the Content and to grant the rights and releases set forth herein. You agree to provide proof of all such permissions in a form acceptable to TeamCo upon request.

You acknowledge and agree that Content must not be false, misleading, defamatory, libelous, obscene, hateful, threatening, pornographic, sexually explicit, or otherwise inappropriate; contain nudity or graphic or gratuitous violence; invade the privacy or publicity rights of any person, living or deceased; or infringe upon any copyright, trademark, or other intellectual property right of any person or entity.  TeamCo reserves the right, in its sole discretion, to reject, disqualify, remove, or discontinue use of any Content for any reason or no reason.  TeamCo has no obligation to use, display, publish, or otherwise exploit any Content.  TeamCo reserves the right to modify, suspend, or discontinue the Portland Timbers Soccer Celebration Fan Wall, or any part thereof, at any time and for any reason, without notice or liability. TeamCo is not responsible for lost, late, corrupted, or misdirected submissions.

All Content becomes the property of TeamCo and will not be returned.  By submitting Content, you hereby irrevocably assign, transfer, and convey to TeamCo and its successors and assigns, in perpetuity and throughout the world, all right, title, and interest in and to the Content, including without limitation all copyrights and any renewals or extensions thereof, whether now known or hereafter devised.  This assignment includes, without limitation, the right to register copyright in the Content, and the right to reproduce, publish, republish, edit, adapt, modify, translate, and create derivative works from, distribute, sell, license, transmit, publicly perform, and publicly display the Content, in whole or in part, alone or in compilations, in any and all media now known or hereafter developed, by any method or process, worldwide and in perpetuity, and to authorize others to do so.  To the extent that the foregoing assignment is or becomes invalid, ineffective, or unenforceable for any reason, or any right, title, or interest in or to the Content is not assignable under applicable law, you hereby grant to TeamCo and its successors and assigns an irrevocable, perpetual, worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, publish, republish, edit, adapt, modify, translate, create derivative works from, distribute, sell, license, transmit, publicly perform, and publicly display the Content, in whole or in part, alone or in compilations, in any and all media now known or hereafter developed, by any method or process, and to authorize others to do so. To the fullest extent permitted by applicable law, you hereby irrevocably waive and agree not to assert any and all “moral rights,” rights of attribution, rights of integrity, or similar rights in the Content, whether arising under U.S. law or the laws of any other jurisdiction.  You acknowledge that the Content may be edited, altered, cropped, combined with other materials, or otherwise modified by TeamCo in its sole discretion. 

You hereby grant permission for TeamCo and its designees to use, publish, publicize, and distribute the Content, including your name, likeness, voice, image, and biographical information for advertising, promotional, trade, or other purposes, in any and all media now known or hereafter developed, including but not limited to in-stadium video boards, live event presentation, broadcast and cable television, streaming services, digital platforms, websites, mobile applications, commercial advertisements, sponsorship activations, and promotional materials, worldwide and in perpetuity, without notice or further compensation, except where prohibited by law.  You waive any right to inspect or approve such use and agree that no compensation is due, except where prohibited by law.  You irrevocably waive any rights of publicity or similar rights you may have in the Content.

To the fullest extent permitted by law, you release, discharge, and hold harmless the Releasees from any and all claims, demands, causes of action, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees (collectively, “Claims”), arising out of or related to your submission of Content, your participation in the Portland Timbers Fan Wall, and the use of the Content as permitted herein.  You agree to indemnify and defend the Releasees against any such Claims.  TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS AND CONDITIONS, THE PORTLAND TIMBERS FAN WALL, OR THE USE OF ANY CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE TOTAL LIABILITY OF THE RELEASEES EXCEED ONE HUNDRED DOLLARS ($100).

Wit Labs, Inc. provides the platform to administer submissions, but is not a sponsor or operator of the Portland Timbers Soccer Celebration Fan Wall.  Major League Soccer, L.L.C. and its affiliates are not responsible for administration of the Portland Timbers Soccer Celebration Fan Wall.

These Terms and Conditions are governed by the laws of the State of Oregon, without regard to conflict of law principles.  Any dispute arising out of or related to these Terms and Conditions or the Portland Timbers Soccer Celebration Fan Wall shall be resolved individually, without resort to any form of class action, exclusively in the state or federal courts located in Multnomah County, Oregon.  If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.  The provisions of these Terms and Conditions that by their nature should survive termination, including but not limited to ownership, assignment, publicity rights, releases, indemnification, limitation of liability, and governing law, shall so survive.  These Terms and Conditions constitute the entire agreement between you and TeamCo regarding the Portland Timbers Soccer Celebration Fan Wall and supersede all prior or contemporaneous communications.  TeamCo reserves the right to modify these Terms and Conditions at any time in its sole discretion, with updated terms effective upon posting.  All trademarks are the property of their respective owners.

Persons in the following categories are NOT eligible to participate or win a prize in the Promotion: (a) Sponsor, Peregrine Sports LLC (“Sponsor’s Affiliate” and together with Sponsor, the “Sponsor Entities”), and each of their respective parents, subsidiaries, affiliates, service agencies, and independent contractors, and each of their respective directors, officers, employees, members, managers, representatives, and agents (collectively, the “Promotion Entities”); (b) Major League Soccer, L.L.C., Soccer United Marketing, LLC, Pro Soccer Development, LP, and Player Development, LLC and each of their respective parents, subsidiaries, affiliates, service agencies, and independent contractors, and each of their respective directors, officers, employees, members, and agents (collectively, the “MLS Entities”); (c)  persons engaged in the development, production or distribution of materials, including printers and agencies, for this Promotion; and (d) persons who are immediate family members  of any person in any of the preceding categories, regardless of where they live, and/or individuals who reside in the same household, whether related or not, as any person in any of the preceding categories.  The transfer of a Prize from an ineligible to an eligible person (and vice versa) is prohibited. 2. Entry Period. 3. How to Participate.  No purchase necessary to participate or win. To enter the Promotion, Entrants will be required to sign up for recurring text messages at the telephone number provided by Entrant, which messages may be marketing and/or automated.  Entrant must have a compatible iOS or Android smartphone, tablet, or other mobile device to play. To participate, an Entrant must either text “SC BINGO” to (503) 300-4071 or scan the applicable QR code shown on the video board or other promotional materials at the Event.  If Entrant texts “SC BINGO” to the number provided, Entrant will be sent a link to sign up for marketing text messages.  If Entrant uses the QR code, Entrant will be automatically directed to the text message sign-up page.  Entrant must enter all required information on the text-message sign up page and sign up for marketing text messages by clicking “Accept.”  After accepting, Entrant will be sent an additional link to the Promotion’s entry form.  Entrant must click the link, enter all required information, and submit the form (“Entry”). Each Entrant may only submit one (1) Entry; Sponsor reserves the right, in its sole discretion, to void any and all Entries of an Entrant who submits more than one (1) Entry.  Entries become the property of Sponsor and will not be returned.  Entries and Entrants may be subject to verification by Sponsor in its sole discretion.  Any attempt by any Entrant to obtain more than the stated number of Entries by using multiple/different telephone numbers, identities or registrations, or any other methods will void that Entrant’s Entries and that Entrant may be disqualified. Use of any automated, robotic, repetitive, programmed or similar entry methods or agents to enter is prohibited and will result in disqualification.  Incomplete Entries or Entries not complying with these Official Rules are subject to disqualification, at Sponsor’s sole discretion.  Proof of submission does not constitute proof of Entry.  Entrants to the Promotion may also be given the option to receive e-mails from the Sponsor Entities; however, eligibility to participate in the Promotion is not dependent upon Entrant’s consent to receive such e-mails and consenting to do so will not increase Entrant’s chance of winning. 4. Winner Determination.  Sponsor will award eight (8) Prizes. Once an Entry has been submitted, a randomly generated bingo game board will appear on the screen of Entrant’s mobile device.  Events will automatically check off on Entrant’s bingo game board as they occur, as determined by Sponsor (each, a “Match Event”).  Once five (5) Match Events are marked off in a row, column, or diagonally (a “Winning Bingo Card”), Entrant will be able to click a button to confirm that Entrant has a Winning Bingo Card.  Sponsor will award a Prize (defined below) to the first eight (8) Entrants with a Winning Bingo Card to click the button (each such Entrant, a “Winner”).  Sponsor will notify each Winner that they’ve won via text message as soon as practicable after the Match.  To claim the Prize, the Winner must present the winning text message notification, together with confirmation of eligibility, at Sponsor’s prize tent located at the Event and, if required by Sponsor, must sign and return an Affidavit of Eligibility and Release, and unless prohibited by law, a Release of Publicity, as further described in Section 7 below.  The Prize must be claimed by 9 p.m. Pacific Time on June 12, 2026.  In the event that an eligible Winner does not claim the Prize at the Event, then such Prize will not be awarded.  Odds of winning a Prize depend on the type and order of Match Events that occur during the Promotion Period and the placement of Match Events on Entrant’s bingo game board.  In the event of a dispute as to the identity or eligibility of a potential Winner based on a telephone number, the applicable Entry will be declared made by the Authorized Account Holder of the telephone number used to enter the Promotion.  As used herein, the” Authorized Account Holder” is defined as the natural person to whom the applicable cellular provider has assigned the telephone number.  Sponsor’s decisions will be final and binding on all matters relating to the Promotion.

All costs and expenses associated with Prize acceptance and use not specified herein as being provided, including but not limited to lodging accommodations, any transportation costs, luggage fees, meals, gratuities and other expenses incurred by accepting the Prize, are the sole responsibility of the Winner.  Sponsor does not make, nor in any manner is responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize including but not limited to its quality, fitness for purpose, or condition.  Prize is non-transferable and non-assignable, with no cash redemptions or substitutions except at Sponsor’s sole and absolute discretion. Prize will be deemed void if sold, transferred, auctioned or assigned to any third party.  Sponsor reserves the right in its sole discretion to substitute a Prize in whole or in part with one of comparable or greater value. ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER.

7. Winner Notification/Prize Claims.  If a Prize is not claimed by the Winner at the Event, or a potential winner is found to be ineligible or not in compliance with these Official Rules, the Prize will be forfeited by such Winner and will not be awarded.  Winners are subject to verification.  All Winners may be required to verify their eligibility by completing, signing, and returning an Affidavit of Eligibility and Release and, unless prohibited by applicable law, a Release of Publicity, and failure to do so may result in Entrant’s forfeiture of the Prize.

8. Release; Limitation of Liability.  Entrant, and its designees, assignees and predecessors and successors in interest, by participating in the Promotion, or by acceptance of the Prize, acknowledge compliance with these Official Rules and agree to release and hold the Promotion Entities, the MLS Entities, WIT, and Community (all of the foregoing collectively, the “Releasees”) harmless from and against any claim or cause of action (and any associated costs, losses, or damages) arising in whole or in part out of participation in the Promotion or the receipt, redemption or use of a Prize, including any death, injuries, losses or damages of any kind sustained, directly or indirectly, in connection with the participation in the Promotion or the receipt, use, acceptance, possession or awarding of any Prize (or any goods or services purchased using the Prize). By participating in this Promotion, you agree to be bound by the Official Rules and by the decisions of Sponsor, which are final and binding on all matters. Sponsor reserves the right to modify the Prize award procedures at its discretion. 

9. Submitted Materials.  Sponsor reserves the right to disqualify any entry it deems to be offensive, inappropriate, not in keeping with Sponsor’s image or that is otherwise not in compliance with these Official Rules, in its sole discretion.  Entries cannot defame or invade the publicity rights or privacy of any person, living or deceased.  By entering the Promotion, Entrants agree to assign, and upon submission does assign, all right, title, and interest, including copyright rights, in the Entry to Sponsor and grant permission for the Promotion Entities and MLS Entities and their respective designees to publish or publicize all or part of their Entry, including but not limited to the Entrant’s name, likeness and submission (as applicable), in whole or in part, for advertising, promotional and trade or other purposes in conjunction with this and similar promotions in any and all media now known or hereafter developed, worldwide in perpetuity, without notice or permission and without further compensation, except where prohibited by law.

10. Force Majeure.  Releasees are not responsible for the cancellation or postponement of any event, competition, game or other live event or exhibition.  Releasees are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions (including viruses and bugs), failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Releasees assume no responsibility for any damage to an Entrant’s phone line, hardware, software or program malfunctions, or other errors, failures, or network connections that are human or technical in nature. SPONSOR RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO DISQUALIFY ANY INDIVIDUAL WHO IS FOUND TO BE TAMPERING WITH THE ENTRY PROCESS OR THE OPERATION OF THE PROMOTION, TO BE ACTING IN VIOLATION OF THESE OFFICIAL RULES, OR TO BE ACTING IN AN UNSPORTSMANLIKE OR DISRUPTIVE MANNER, OR WITH THE INTENT TO DISRUPT OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION, OR TO ANNOY, ABUSE, THREATEN OR HARASS ANY OTHER PERSON, AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right to modify, extend, suspend, or terminate the Promotion, in whole or in part, if it determines, in its sole discretion, that the Promotion or any particular selection of a Winner is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security and/or feasibility of the Promotion or particular selection of a Winner as contemplated herein.  In the event Sponsor is prevented from awarding prizes or continuing with the Promotion or a particular selection of a Winner as contemplated herein by any event beyond its control, including, but not limited to, fire, flood, natural or man-made disaster, epidemic, pandemic, or other public health emergency, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control, then subject to any governmental approval which may be required, Sponsor will have the right to modify, suspend, or terminate the Promotion in its entirety.

11. General.  This Promotion is designed to increase consumer awareness of and interest in Sponsor and MLS.  These Official Rules cannot be modified or amended in any way except by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Promotion is void outside the Territory or where prohibited by law, rule, or regulation. THIS PROMOTION IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF OREGON, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. Each Entrant agrees that any and all disputes that cannot be resolved between the parties and other causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action, exclusively before a court located in Multnomah County, Oregon, having jurisdiction. This Promotion may not be used for any form of gambling.  In the event that the Promotion is challenged by any legal or regulatory authority, Sponsor reserves the right to discontinue or modify the Promotion, or to disqualify Entrants residing in the affected geographic areas. In such event, Releasees will have no liability to any Entrant or any Winner who is disqualified due to such an action.

12. Winners List.  To learn of the Winners, any person may mail a self-addressed, stamped envelope to 1844 SW Morrison St., Portland, OR 97205, Attn: Winners’ List – Portland Timbers Soccer Celebration Bingo. All such requests must be received by September 15, 2026.

13. Sponsor.  The Sponsor of the Promotion is Peregrine TeamCo LLC d/b/a Portland Timbers, located at 1844 SW Morrison Street, Portland, OR 97205.  This Promotion is powered by WIT on behalf of Sponsor.  For the avoidance of doubt, WIT administers and provides the platform for the Promotion, but is not the sponsor of the Promotion.  The MLS Entities and Community are not sponsors or administrators of this Promotion and are in no way responsible or liable for the administration of this Promotion.
