NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.  VOID OUTSIDE THE STATE OF OREGON AND WHERE PROHIBITED OR RESTRICTED BY LAW. THIS PROMOTION IS INTENDED FOR ENTRY IN THE STATE OF OREGON ONLY AND WILL BE GOVERNED BY U.S. LAW. DO NOT ENTER IF YOU ARE NOT ELIGIBLE AND LOCATED IN THE STATE OF OREGON AT THE TIME OF ENTRY. NOT OPEN TO THE GENERAL PUBLIC.

DATES OF SWEEPSTAKES: The “2023 VIP Fan” Sweepstakes (the “Sweepstakes”) begins on May 6, 2023 and ends on June 25th, 2023 (the “Sweepstakes Period”), subject to the home game dates at Providence Park (the “Stadium”), located at 1844 SW Morrison, Portland, OR 97205. 

ELIGIBILITY: The Sweepstakes is open only to natural persons and permanent legal residents of Oregon who reside within a seventy-five (75) mile radius of the Stadium and are at least eighteen (18) years of age or older at time of entry (the “Entrant”). Officers, directors, managers and employees of the Portland Lexus Dealer Association (the “Sponsor”),  Lexus, a division of Toyota Motor Sales, Inc., Toyota Motor Sales USA, Inc., Portland Timbers (“Timbers”), Peregrine TeamCo LLC (“Club Operator or Licensor”), Peregrine Sports LLC (“Stadium Operator), Major League Soccer (“MLS”), and each of their respective parent companies, subsidiaries, affiliates, and related companies, dealers, advertising and promotion agencies, consultants and agents, as well as their immediate family (spouse, parents, siblings and children) and household members of each such person, and any others engaged in the development, production, execution or distribution of this Sweepstakes, including National Sweepstakes Company, LLC (“Independent Administrator”) are not eligible to participate.  Sweepstakes is subject to all federal, state, and local laws and regulations.  Sweepstakes is void outside the state of Oregon and wherever else restricted or prohibited by law.  Entrants who have previously won a contest, sweepstakes, or promotion of any kind sponsored or otherwise associated with Sponsor, Lexus, a division of Toyota Motor Sales, Inc., or Toyota Motor Sales USA, Inc., within thirty (30) calendar days immediately preceding the start of this Sweepstakes are ineligible to participate or win a Prize.

HOW TO ENTER: There are two (2) ways to enter:

1. ONSITE: Locate the Lexus Soccer Throne  display inside the Stadium during a Timbers home game and register for the Sweepstakes by completing the official entry form in its entirety including your first name, last name, email address, zip, and dealer opt-in to receive one (1) entry into the Sweepstakes Period. The Lexus Soccer Throne will be onsite during the following Timbers home games:

• May 6, 2023
• June 24, 2023

2. ONLINE: Visit www.timbers.com/lexus from May 6, 2023 to June 25, 2023 to complete the online official entry form in its entirety including your first name, last name, email address, zip and dealer opt-in to receive one (1) entry into the Sweepstake Period.

Limit of one (1) entry per person for the entire Sweepstakes. Any attempt by an Entrant to obtain more than the stated number of entries by using multiple/different identities, and/or any other methods will void that Entrant’s entry and that Entrant may be disqualified from the Sweepstakes.  In the event of a dispute regarding the identity of the person submitting an entry, the entry will be deemed submitted by the person in whose name and email address were submitted via the Entry Form (“Authorized Account Holder”).  Entrants may be required to provide proof of being the Authorized Account Holder.  If the Sponsor cannot determine the identity of the person based upon the information submitted via the Entry Form, the respective Entrant will be disqualified. No mechanically or programmatically reproduced entries are permitted.  Sponsor will not verify receipt of entries for Entrants.  All entries submitted become the sole property of Sponsor and will not be returned. Sponsor is not responsible for lost, late, misdirected, illegible, or damaged entries.  By entering, each Entrant; (a) represents that he/she/they is at least eighteen (18) years of age and otherwise eligible to participate in the Sweepstakes; and (b) fully and unconditionally agrees to and accept these Official Rules and the decisions of Sponsor, which are final and legally binding in all respects.  Any person who tampers with the entry process in any way will be disqualified.

WINNER SELECTION / NOTIFICATION: On or about July 15, 2023 one (1) prize winner (the “Prize Winner”) will be selected at random from among all eligible entries received during the Sweepstakes Period. Odds of winning a Prize are dependent upon the total number of eligible entries received during the Sweepstakes Period. The random drawing will be conducted by a Sponsor representative whose decisions are based upon their sole discretion and interpretation of these Official Rules and are final and binding in all respects.

Potential Prize Winners will be notified by a Sponsor representative via email or phone immediately following the drawing.  Sponsor representative will make one (1) attempt to reach a potential Prize Winner (“Notification”).   In the event that the potential Prize Winner does not respond to any such Notification within twenty-four (24) hours of the time of issuance or declines the Prize for any reason,  or if it is determined by the Sponsor in their sole discretion that the potential Prize Winner is not eligible in accordance with these Official Rules, the potential Prize Winner will be disqualified and an alternate Prize Winner may be selected from among the remaining non-winning eligible entries received during the Sweepstakes Period, time permitting.  Once verified via the Notification, the potential Prize Winner will be required to complete and return “Required Documents” as further described in the “PRIZE CLAIMS” section below. Prize will be awarded to the Prize Winner upon receipt and confirmation of the “Required Documents”.

PRIZES:  Prize Winner selected will receive a prize consisting of i) roundtrip airfare to Austin, TX, ii) hotel accomodations for three-nights (double occupancy at a hotel to be determined by the Sponsor), iii) and two(2)  Lexus Club tickets to the 2023 Timbers away game located in Austin, TX on September 17, 2023. Total approximate retail value of the prize is $2,875.00.

The Prize Winner will be contacted by a Sponsor Representative regarding his/her/their prize and prize will be delivered via mail prior to the date of the game.  Prize Winner must be available to attend the Timbers awaygame associated with the prize, or Prize Winner will be disqualified and an alternate Prize Winner will be selected, time permitting, even if the disqualified potential Prize Winner’s name may have been publicly announced. Travel expenses are not included in the prize. Prize Winner is solely responsible for all federal, state, and local taxes and all other expenses not specifically mentioned herein, including transportation, parking, accommodations, meals, and beverages, incidental expenses and gratuities.  No substitution or cash redemption of prize is permitted. No responsibility is assumed by the Sponsor for any cancellation or rescheduling of any prize related event in whole or in part.  In the event of cancellation or rescheduling no alternate or substitute prize for such cancellation or rescheduling will be awarded. Prize is not transferable and may not be resold.  Sponsor reserves the right to substitute a prize of equal or greater value if prize becomes unavailable due to reasons beyond the control of the Sponsor. 

Portland Timbers game tickets and admission to the game are subject to all security, fan conduct, safety, and health requirements and policies put in place by the Portand Timbers or the venue where the game is played and its affiliates and subsidiaries, the MLS and its affiliates and subsidiaries, and venue, including requirements relating to face masks and enhanced health screenings (which may include a requirement that ticket holders be tested for COVID-19 prior to or during any game or provide proof of full vaccination against COVID-19, as defined by the United States Centers for Disease Control and Prevention, prior to attending any game) as they may be updated from time to time.  Prize Winner and any guest must also comply with all applicable ticket terms and conditions and all applicable laws, policies, orders, ordinances, protocols, and guidelines issued by federal, state, and local authorities respecting COVID-19 and other communicable diseases, and attendance at the game is conditioned on such compliance.

No more than the one (1) prize as set forth in these Official Rules will be awarded. The difference in value of the prize as stated herein and value at time of notification, if any, will not be awarded.

PRIZE CLAIMS: Except where prohibited, potential Prize Winner will be required to complete, execute and return Affidavit of Eligibility, Liability, and Publicity Release (the “Releases”), an IRS Form W-9 (“W-9 Form”), and any other documents required by Sponsor (collectively, the “Required Documents”) within two (2) days or less from receipt of Notification. If a potential Prize Winner fails to return the Required Documents within the time period required, or if the email is returned as undeliverable, such potential Prize Winner forfeits his/her/their right to the prize and another Prize Winner will be selected from among all remaining non-winning eligible entries received during the Sweepstakes Period, time permitting, even if the disqualified potential Prize Winner’s name may have been publicly announced. Potential Prize Winner must report income to the IRS.  In the event it is deemed during the verification process that the potential Prize Winner does not have a unique, personal, and valid social security number or other form of valid tax ID number for Sponsor to report the tax liability associated with acceptance of the prize, such potential Prize Winner will be disqualified and another Prize Winner selected as outlined above, time permitting.  Valid social security numbers or other forms of valid tax ID will be determined by IRS requirements. If it is determined by the Independent Administrator, in its sole discretion, that a potential Prize Winner is not eligible or otherwise not in compliance with these Official Rules, the potential Prize Winner forfeits his/her/their right to the prize and an alternate will be selected as outlined above, time permitting, even if the disqualified potential Prize Winner’s name may have been publicly announced.  In the event that a potential Prize Winner is disqualified for any reason, Sponsor, Independent Administrator, and Timbers shall have no liability or obligation to such individual. PRIZE WINNER IS SOLELY AND ENTIRELY RESPONSIBLE FOR ANY AND ALL APPLICABLE FEDERAL, STATE, AND LOCAL TAXES (INCLUDING ANY AND ALL INCOME AND WITHHOLDING TAXES, SALES TAX, LUXURY TAX, AND/OR DESIGNATION CHARGES) INVOLVING THEIR PRIZE, AS WELL AS ANY AND ALL COSTS AND EXPENSES NOT EXPRESSLY SPECIFIED HEREIN RELATED TO THE PRIZE, INCLUDING WITHOUT LIMITATION THE COST TO INSURE THEIR PRIZE. EACH WINNER IS RESPONSIBLE FOR HIS/HER/THEIR TRAVEL EXPENSES (INCLUDING WITHOUT LIMITATION GROUND TRANSPORTATION, AIRFARE, MEALS, INCIDENTALS, SERVICE CHARGES OR FACILITY CHARGES, PERSONAL CHARGES AT LODGING, SECURITY FEES, TAXES, OR OTHER EXPENSES) AND HIS/HER/THEIR GUEST’S TRAVEL EXPENSES ANY WAY RELATED TO THE SWEEPSTAKES OR PRIZE. Each Prize Winner consents (and agrees to sign any additional documents required by Sponsor, Lexus, a division of Toyota Motor Sales, Inc., or Toyota Motor Sales USA, Inc., to formalize, effect or perfect such consent, except where prohibited by law) for Sponsor, Lexus, a division of Toyota Motor Sales, Inc., or Toyota Motor Sales USA, Inc., and those acting under their authority, to use his/her name, likeness (photograph and/or video), biographical information, and voice in advertising/publicity/trade without territorial or time limitations and without compensation, notice or approval; and, Prize Winner disclaims any ownership rights of such advertising/publicity/trade material. Sponsor and Independent Administrator are not responsible for any change of email address, mailing address and/or telephone number of Entrants. 

GENERAL CONDITIONS:  If the performance of Sponsor or Timbers of any obligation under these Official Rules or the Sweepstakes is delayed or prevented in whole or in part by acts of God, fire, floods, storm, explosion, tsunami, accidents, epidemics, pandemics (including without limitation the COVID-19 Pandemic), war, terrorism, civil disorder, strikes or other labor difficulties, or by any law, rule, regulation, order, or other action adopted or taken by any federal, state, or local governmental authority, or by any other cause not reasonably within Sponsor’s and/or Timbers’ control Sponsor shall have the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes and conduct the Sweepstakes in a manner which in its sole discretion is fair, appropriate and consistent with these Official Rules. Notice of such action by Sponsor will be posted at the Lexus display.  In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment or not at all.  Sponsor reserves the right in their sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Sponsor reserves the right to disqualify or reject any incomplete, inaccurate, or false entry.  ANY ATTEMPT BY ANY PERSON TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. SPONSOR'S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS.

RELEASE: By participating in the Sweepstakes and submitting an entry, each Entrant agrees to (a) be bound by these Official Rules, including all entry requirements; (b) waive any and all claims against Sponsor, Lexus, a division of Toyota Motor Sales, Inc., Toyota Motor Sales USA, Inc., Timbers, Peregrine TeamCo LLC, Peregrine Sports LLC, MLS, (“Released Parties”) and each of Released Parties’ respective parents, affiliates, companies, subsidiaries, officers, directors, employees, agents, licensees, distributors, dealers, retailers, printers, representatives, and advertising and promotion agencies, and any and all other companies associated with the Sweepstakes, and all of their respective officers, directors, employees, agents, and representatives for any injury, damage, or loss of any kind to persons, including death, property loss, or damage, that may occur directly or indirectly, in whole or in part, from the participation in the Sweepstakes or from the receipt or use of any prize (or any portion thereof, including attendance to any game at a stadium or entry into the stadium) or any travel or activity related to the receipt or use of any prize (or any portion thereof); the violation of any privacy, personal, publicity, or proprietary rights; acceptance, attendance at, receipt, travel related to, participation in, delivery of, possession, defects in, use, non-use, misuse, inability to use, loss, damage, destruction, negligence, or willful misconduct in connection with the use of a prize (or any component thereof), any change in the prizing (or any components thereof); human error; any wrongful, negligent, or unauthorized act or omission on the part of any of the Released Parties; lost, late, stolen, misdirected, damaged, or destroyed prizing (or any element thereof); or the negligence or willful misconduct by Entrant; and (c) Released Parties shall have no liability whatsoever for entries that are late, incomplete, or not timely received for any reason.

By participating in the Sweepstakes, Entrants further agree that Released Parties are not responsible for: (i) lost, late, incomplete, stolen, misdirected, postage due, undeliverable emails or texts or postal mail; (ii) any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability; (iii) garbled, corrupt, or jumbled transmissions, or service provider/network accessibility, availability or traffic congestion; (iv) any technical, mechanical, printing or typographical, or other error; (v) the incorrect or inaccurate capture of registration information or the failure to capture, or loss of, any such information; (vi) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft, destruction, or unauthorized access to the Sweepstakes; (vii) any injury or damage, whether personal or property, to Entrants or to any person's computer related to or resulting from participating in the Sweepstakes and/or accepting the prize; and (viii) entries that are late, forged, lost, misplaced, misdirected, tampered with, incomplete, deleted, damaged, garbled, or otherwise not in compliance with the Official Rules. Further, the Released Parties are not responsible for any unanswered or undeliverable Prize Winner Notifications.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING THE PRIZE, IS PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

DISPUTES: This Sweepstakes is governed by, and will be construed in accordance with, the laws of the State of Oregon, and the forum and venue for any dispute shall be in Multnoma County. If the controversy or claim is not otherwise resolved through direct discussions or mediation, it shall then be resolved by final and binding arbitration administered by JAMS in accordance with its arbitration rules and procedures or subsequent versions thereof (“JAMS Rules”). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be experienced and licensed to practice law in Oregon. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages or have damages multiplied or otherwise increased, including attorneys’ fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief. Entrants agree that the rights and obligations of any entrant and/or Released Parties and/or any other party shall be resolved individually, without resort to any form of class action. Any demand for arbitration must be filed within one (1) year from the end of the Sweepstakes Period or the event(s) giving rise to the cause(s) of action, whichever occurs first, or the cause of action shall be forever barred whether or not entrant had actual knowledge of the facts giving rise to the demand for arbitration.

CONDUCT: If at any time, in the sole and absolute discretion of Timbers, an Entrant or Prize Winner becomes the subject of public disrepute, contempt, or scandal that could affect Released Parties’ respective images or goodwill, then Timbers may, without prior notice, immediately suspend, revoke, and/or nullify an Entrant’s or Prize Winner’s entry into a stadium, in addition to any other rights and remedies Released Parties may have hereunder or at law or in equity, with no further obligation whatsoever on the part of Released Parties.

CCPA: IN ORDER TO ENTER THE SWEEPSTAKES, ENTRANTS SPECIFICALLY ACKNOWLEDGE AND UNDERSTAND THAT CERTAIN PERSONAL DATA WILL BE COLLECTED, INCLUDING, BUT NOT NECESSARILY LIMITED TO, INFORMATION THAT IDENTIFIES, RELATES TO, DESCRIBES, IS REASONABLY CAPABLE OF BEING ASSOCIATED WITH, OR COULD REASONABLY BE LINKED (DIRECTLY OR INDIRECTLY) WITH A PARTICULAR CONSUMER OR HOUSEHOLD SUCH AS A REAL NAME, ALIAS, POSTAL ADDRESS, UNIQUE PERSONAL IDENTIFIER, ONLINE IDENTIFIER, INTERNET PROTOCOL ADDRESS, EMAIL ADDRESS, ACCOUNT NAME, SOCIAL SECURITY NUMBER, LICENSE PLATE NUMBER, PASSPORT NUMBER, OR OTHER SIMILAR IDENTIFIERS (“PERSONAL DATA”).  For more information, visit: https://www.lexus.com/privacy/online-statement#california-privacy.

NAME AND RIGHTS: Entrants acknowledge and agree that Entrants acquire no right, title, or interest through the Sweepstakes to any mark, intellectual property, or property of Angels, its sponsors, owners, or others. Without limiting the forgoing, Entrants specifically acknowledge and agree that that entrants may not use, and shall not use, the names “Timbers, “Portland Timbers”, Portland Timbers Football Club”, “Peregrine TeamCo LLC”, “Peregrine Sports LLC”, or any derivatives of such names (a) in any Entrants’ respective or combined personal advertising, publicity, or promotion; (b) to express or imply any endorsement by Timbers or Released Parties; or (c) in any manner whatsoever (whether or not similar to the uses hereinabove specifically prohibited), unless otherwise agreed to in writing by Timbers. The provisions of this paragraph shall survive the expiration of the Sweepstakes.

ENTRANTS PERSONAL INFORMATION: Information collected from Entrants is subject to Sponsor’s privacy policies, located at http://www.lexus.com/privacy/. If you are selected as a Prize Winner, your first name, last initial, city, and state will also be included in a publicly available winner’s list.

WINNER’S LIST: For the name of the Prize Winner, please submit a self-addressed, stamped envelope for receipt by August 15, 2023, to “2023 VIP Fan Sweepstakes” 13031 Jefferson Blvd., Space 800, Los Angeles, CA 90094.
